KYC Policy

Miracle Tele s.r.o., a private limited company incorporated and existing under the laws of Czech Republic, with its legal address at Vaclavske namesti 58, 110 00 Praha 1, Czech Republic, registered under the file number C292245 by registrar Mestsky soud v Praze (Municipal court in Prague), under registration number 06968287, hereafter referred to as the Operator

and

TelePay DOO Beograd-Zvezdara, which is a private limited company duly registered and existing under the laws of Republic of Serbia with the company number 21429384 and registered office at Ljubljanska 7 11050 Beograd 22, Serbia, and governed by the laws of Republic of Serbia, hereafter referred to as the Seller

present together this KYC Policy which will govern the know your customer procedure during the sale of TELE tokens carried out by the Seller and provision of telecommunication services carried out by the Operator.

1 Terms and Definitions

1.1 “The Account” is the account of the Subscriber on the Website using which the Subscriber can review user account balance, order equipment, Services and so on.

1.2 “The Buyer” is a person or entity who has bought TELE tokens from the Seller under the Token Sale Agreement.

1.3 “The Customer” is a Buyer and/or a Subscriber.

1.4 “The Equipment” is a SIM card using which the Services of the Operator may be made available for use by the Subscriber.

1.5 “The Services” mean telecommunications services such as international calls and Internet services that are provided by the Operator to the Subscriber in accordance with the Terms of Use and the other legal documents of the Operator.

1.6 “The Subscriber” is a person or entity who has signed the Agreement with the Operator by registering at the Website for purposes of the use of the Services in accordance with Terms of Use and the other legal documents of the Operator.

1.7 “The Restricted Persons” have the meaning, set out in Section 4.4 (a) of Article IV of the Token Sale Agreement.

1.8 “The Terms of Use” means terms and conditions of use applicable to the Website that are hereby incorporated by reference and the latest version is available at Terms of Use.

1.9 “The Token Owner Rewards” has meaning set out in Section 2.7. of Article II of the Terms of Use.

1.10 “The Token Sale Agreement” is an agreement on the sale of TELE tokens entered into by the Seller and the Buyer.

1.11 “The Website” is the website of the Operator and the Seller, miracletele.com, using which the Subscriber can buy TELE tokens, order the Equipment, as well as make a deposit and so on, for purposes of the use of the Services in accordance with the Terms of Use and the other legal documents of the Operator and the Seller.

2 General Provisions

The Operator and the Seller together operate the Website where Customers may buy TELE tokens, stack TELE tokens, and order Services and Equipment. The Operator and the Seller tightly cooperate during their activities, therefore, they agreed upon a joint approach to KYC procedures.

The Operator and The Seller declare that neither the Operator nor the Seller is obliged person under anti-money laundering and combating the financing of terrorism laws. However, they recognize the purpose and importance of combating the money laundering and financing of terrorism, therefore they decided to implement KYC procedures into their operation.

3 Sale of TELE tokens

The Seller offers an opportunity to buy TELE tokens via the Website to Customers. The sale of TELE tokens is governed by the Token Sale Agreement which is concluded by ordering the TELE tokens by the Customer. The KYC procedure during the Sale of TELE tokens is as follows.

3.1 Sale of TELE tokens without registration

For occasional small amount sales of TELE tokens, the Customer can make the order simply by sending a specified amount of ETH to the address specified by the Seller on the Website.

In this manner, the Customer can order TELE tokens in the amount up to 1000 EUR in a single week (all transactions in a week combined cannot exceed 1000 EUR).

Orders exceeding this limit will be canceled by the Seller and the purchase price will be credited back to the Customer. Any transaction fees will be paid by the Customer violating the limit.

If the Customer wants or needs to buy more than 1000 EUR worth of TELE tokens in a single week then the Customer should register the Account and order the TELE tokens as a registered Customer as described below.

3.2 Sale of TELE tokens to registered Customers

A registered Customer can buy TELE tokens from the Seller using the Website without the limits specified in section 3.1 of this Policy.

To become a registered Customer the Customer shall create an Account and fill in the personal information as specified in section 6 of this Policy.

A registered Customer can buy TELE tokens by using the prepaid funds accrued to Customer’s Account. Prepayment can be made in a way specified in section 7 of this Policy.

4 Stacking of TELE tokens

In order to stack TELE tokens in order to become eligible for receiving The Token Owner Rewards, the Customer shall become a registered Customer.

To become a registered Customer the Customer shall create an Account and fill in the personal information as specified in section 6 of this Policy.

A registered Customer can stack TELE tokens using the Website.

5 Ordering Services and Equipment

In order to use Services provided by the Operator or order any Equipment from the Operator, the Customer shall become a registered Customer.

To become a registered Customer the Customer shall create an Account and fill in the personal information as specified in section 6 of this Policy.

A registered Customer can order Equipment or use the Services by using the prepaid funds accrued to Customer’s Account. Prepayment can be made in a way specified in section 7 of this Policy.

6 Registration

To become a registered Customer the Customer needs to create an Account and fill in Customer’s personal information as specified below.

6.1 Creating the Account

A Customer can create an Account via the Website by using the “sign up” form. In order to create an Account, the Customer shall:

  • fill in Customer’s email address;
  • verify ownership of the email address specified by using the link in the verification email sent to this email address;
  • sign in the created Account using the provided authentication credentials.

6.2 Filling in personal information

In order to become a registered Customer, the Customer shall fill in following personal information using the Website when signed in Customer’s Account:

  • If the Customer is a natural person:
    • name and surname;
    • permanent residence address;
    • date of birth;
    • nationality;
    • if the Customer is an entrepreneur then the Customer also fills in:
      • registered office;
      • business name – if used;
      • ID – if assigned;
  • If the Customer is a legal person:
    • company name;
    • registered office;
    • ID;
    • personal information about the natural person acting on behalf of the Customer:
      • name and surname;
      • permanent residence address;
      • date of birth;
      • nationality;
    • title empowering the person to act on behalf of the Customer;
  • The Customer shall declare that:
    • the Customer is or is not a Politically exposed person;
    • the Customer is not on any sanction list;
    • the Customer is not a Restricted Person under the Token Sale Agreement.

7 Prepayments and Withdrawals

A registered Customer can make a prepayment to the Operator or the Seller using the Website or withdraw the funds accrued to Customer’s Account or Token Owner Rewards using the Website.

If the Customer wants to make a prepayment or a withdrawal via a wire transfer from or to a bank account, the Customer shall register a bank account via the Website.

In order to register a bank account, the Customer shall fill in the following details:

  • IBAN;
  • country;

If the Customer wants to make a prepayment via a credit card, the Customer shall register a credit card via the Website.

In order to register a credit card, the Customer shall fill in the following details:

  • card number;
  • validity period;
  • card holder;

The Customer is only allowed to register a bank account or a credit card that the Customer personally owns. No withdrawals can be made to bank accounts owned by third persons.

8 Identity and information verification

The Operator and the Seller reserve the right to request verification of the identity and of the information filled in by a Customer.

A Customer is obliged to present to the Seller and/or the Operator any documents verifying the Customer’s identity, the information filled in by the Customer and other specified information upon request from the Seller and/or the Operator. The documents that the Seller or the Operator may request might include:

  • ID, passport or other official identification document issued to the Customer;
  • proof of address;
  • proof of ownership of registered bank account and/or registered credit card;
  • proof of source of funds;
  • prof of existence of the company.

In addition to the above mentioned the Seller or the Operator might request an explanation of Customer’s actions and making a video call for identity verification.

Failure to comply with the request for verification of the identity of the Customer and the information filled in by the Customer is a serious breach of the Token Sale Agreement and/or the Terms of Use.

9 Prohibited Activities

The purpose of KYC procedure is to prevent fraud financing of terrorism and money laundering therefore in order to comply with this KYC Policy the Customer must not:

  • fill in false, misleading or incomplete information;
  • register a bank account or a credit card that is owned by a third party;
  • make a withdrawal to a bank account owned by a third party;
  • make a prepayment with a credit card or a bank account owned by a third person;
  • allow a third person to use the Customer’s Account;
  • order Equipment, Services, buy or stack TELE tokens as a proxy for a third person;
  • resale Equipment or the Services to third parties;
  • allow, as a legal person, a natural person to act on the Customer’s behalf without proper authorization;

Conducting any of the above mentioned prohibited activities is a serious breach of the Token Sale Agreement and/or the Terms of Use.

10 Changes to this Policy

The Seller and the Operator may make amendments to this KYC Policy. In case of any important changes made to this document, registered Customers will be informed about such changes being introduced and taking effect via displaying or sending messages using the Website.

Customers are recommended to review this KYC Policy on a regular basis in order to stay aware of changes that may be introduced to this document.
